Welcome to MatchGrant! These Terms of Service (“Terms”) govern your use of our grant matching and management services (the “Services”). By using our Services, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

2. Description of Service

MatchGrant provides a software platform designed to help organizations find relevant grant opportunities and manage the application lifecycle. Features include grant discovery, deadline tracking, and document management.

3. Account Registration

You must provide accurate and complete information to register for an account. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for the content, accuracy, and legality of any data or information you submit (“Customer Data”).

5. Subscription and Payment

• Fees: Access to the Services requires payment of subscription fees. All fees are quoted in U.S. Dollars.
• Billing: We use a third-party payment processor (Stripe) to bill you. Payment is due at the start of each subscription period.
• Renewal: Your subscription will automatically renew unless you cancel it at least 24 hours before the end of the current period.
• Refunds: All fees are non-refundable, except as required by law.

6. Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and modify your Customer Data solely for the purpose of providing the Services to you.

7. Intellectual Property

• Our IP: The MatchGrant platform, including its code, algorithms, database structure, and visual interfaces, is the exclusive property of MatchGrant, LLC.
• Restrictions: You agree not to:
  • Reverse engineer, decompile, or attempt to derive the source code of the Services.
  • Scrape, crawl, or mass-export data from our grant database to build a competing product.
  • Resell or sub-license access to the Services to third parties.

8. Third-Party Services

Our Services may integrate with third-party tools (e.g., Google Calendar, Stripe, Outlook). We are not responsible for the availability, security, or content of these third-party services. Your use of them is subject to their respective terms and privacy policies.

9. Termination

• By You: You may stop using the Services at any time by canceling your subscription.
• By Us: We may suspend or terminate your access immediately if you violate these Terms (e.g., abusive behavior, fraudulent payment, or sharing login credentials).
• Effect of Termination: Upon termination, your right to access the Services ends. We may delete your Customer Data after 60 days unless legal retention is required.

10. Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHGRANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE GRANT DATA IS 100% ACCURATE.

11. Limitation of Liability

• Indirect Damages: In no event shall MatchGrant be liable for any lost profits, lost grant funding, reputational harm, or special, indirect, or consequential damages.
• Liability Cap: Our total cumulative liability to you for any claims arising out of these Terms or the Services shall not exceed the amount you paid to MatchGrant in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MatchGrant and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your misuse of the Services; or (c) the content of any grant application you submit using our tools.

13. Dispute Resolution (Georgia Venue)

• Governing Law: These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
• Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@matchgrant.co.
• Venue: Any legal action must be brought in the state or federal courts located in Fulton County, Georgia. You consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may update these Terms periodically. If we make material changes, we will notify you via email or a prominent notice in the app. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
