MatchGrant Terms of Service
Effective Date: January 2, 2026
These Terms of Service (“Terms”) constitute a legally binding agreement between MatchGrant, LLC (“MatchGrant,” “we,” “us,” or “our”) and you (“User,” “you,” or “Customer”). They govern your access to and use of MatchGrant’s website, applications, AI matching engines, and related services (collectively, the “Services”).
PLEASE READ CAREFULLY: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 13) THAT AFFECT YOUR LEGAL RIGHTS. BY CLICKING “I AGREE,” REGISTERING FOR AN ACCOUNT, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.
1. Eligibility & Authority
- Authorized Use: You represent that you are at least 18 years old and have the legal capacity to enter into this contract.
- Organizational Use: If you are using the Services on behalf of a nonprofit, foundation, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refers to that entity.
2. Account Registration & Security
- Credentials: You are responsible for maintaining the confidentiality of your login credentials. You may not share your account password with third parties outside your immediate organization.
- Seat Management: MatchGrant provides unlimited user seats for your organization’s internal team. However, login sharing is strictly prohibited. Each individual user must have their own unique login credentials attached to their own email address. We reserve the right to audit account usage and terminate accounts where credentials are being shared with individuals outside the subscribing organization.
- Notification: You must notify us immediately at support@matchgrant.co if you suspect any unauthorized use of your account.
3. Grant Advisory & No Guarantee of Funding
CRITICAL DISCLAIMER: MatchGrant is a software tool designed to assist with grant discovery, management, and writing.
- No Guarantee: We do not guarantee that using our Services will result in your organization receiving a grant, funding, or donation. Funding decisions are made solely by third-party grantmakers over whom we have no influence.
- Accuracy of Opportunities: While we strive to keep our grant database current, we cannot guarantee that all grant deadlines, eligibility criteria, or funding amounts listed are accurate or up-to-date at the moment of viewing. You are responsible for verifying all details directly with the funder before applying.
4. Subscription, Payment & Automatic Renewal
- Fees: Access to certain features requires a subscription. You agree to pay the fees displayed at the time of purchase.
- Automatic Renewal (Georgia Disclosure): To ensure uninterrupted service, your subscription will automatically renew for the same term (e.g., monthly or annually) unless you cancel at least 24 hours before the renewal date. You authorize us to charge your payment method on file for the renewal rate.
- Cancellation Policy: You may cancel your subscription renewal at any time directly through the Billing Settings in your organization. Your cancellation will be effective at the end of your current billing period.
- No Refunds: ALL PAYMENTS ARE NON-REFUNDABLE AND NON-TRANSFERABLE. We do not provide refunds or credits for any partial subscription periods or unused services.
- Exceptions: We will only issue refunds in the event of a billing error on our part (e.g., a duplicate charge due to a technical error).
5. Artificial Intelligence & Generated Content
MatchGrant utilizes Large Language Models (LLM) and artificial intelligence (collectively, “AI Features”) to generate text, recommendations, and summaries.
- Ownership of Output: As between you and MatchGrant, you own the output generated by the AI for your specific inputs (“Output”), including any grant narratives or proposals created.
- Accuracy Disclaimer: AI models can “hallucinate” or generate incorrect information. You acknowledge that AI Outputs may contain errors, biases, or outdated information. You are solely responsible for reviewing, fact-checking, and editing any AI-generated text before submitting it to a funder.
- No Training on Your Data: As outlined in our Privacy Policy, MatchGrant does not use your proprietary grant inputs (e.g., your confidential budgets or strategic narratives) to train our foundational AI models for the general public.
6. Data Rights & Privacy
- Your Data: You retain all ownership rights to the documents, profiles, and content you upload to the Services (“Customer Data”).
- License to MatchGrant: You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, and display your Customer Data solely to provide the Services to you (e.g., analyzing your budget to find a match).
- Google/Microsoft Data: Our access to your calendar data is strictly governed by our Privacy Policy and the “Limited Use” requirements of Google and Microsoft. We do not sell this data or use it for advertising.
7. Intellectual Property Rights
- Our IP: The MatchGrant platform, including its code, algorithms, database structure, and visual interfaces, is the exclusive property of MatchGrant, LLC.
- Restrictions: You agree not to:
- Reverse engineer, decompile, or attempt to derive the source code of the Services.
- Scrape, crawl, or mass-export data from our grant database to build a competing product.
- Resell or sub-license access to the Services to third parties.
8. Third-Party Services
Our Services may integrate with third-party tools (e.g., Google Calendar, Stripe, Outlook). We are not responsible for the availability, security, or content of these third-party services. Your use of them is subject to their respective terms and privacy policies.
9. Termination
- By You: You may stop using the Services at any time.
- By Us: We may suspend or terminate your access immediately if you violate these Terms (e.g., abusive behavior, fraudulent payment, or sharing login credentials).
- Effect of Termination: Upon termination, your right to access the Services ends. We may delete your Customer Data after [e.g., 60 days] unless legal retention is required.
10. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHGRANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE GRANT DATA IS 100% ACCURATE.
11. Limitation of Liability
- Indirect Damages: In no event shall MatchGrant be liable for any lost profits, lost grant funding, reputational harm, or special, indirect, or consequential damages.
- Liability Cap: Our total cumulative liability to you for any claims arising out of these Terms or the Services shall not exceed the amount you paid to MatchGrant in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless MatchGrant and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your misuse of the Services; or (c) the content of any grant application you submit using our tools.
13. Dispute Resolution (Georgia Venue)
- Governing Law: These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
- Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@matchgrant.co.
- Venue: Any legal action must be brought in the state or federal courts located in Fulton County, Georgia. You consent to the personal jurisdiction of such courts.
14. Changes to Terms
We may update these Terms periodically. If we make material changes, we will notify you via email or a prominent notice in the app. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
